Terms of service

1. Who we are

prodready is a service of Innovate d.o.o., Ljubljana, Slovenia ("we"). Contact: our contact form. These terms apply when you use prodready.si, the MCP server at mcp.prodready.si, the free readiness scan and due diligence, or the SDLC licence. You are a consumer if you use the service mainly outside your trade, business or profession, and a business customer otherwise. Where a clause treats the two differently, it says so.

If we agree to do other work for you, a separate written agreement governs that work.

2. What we provide

• The readiness scan and due diligence (free). Tools on the MCP server that give your MCP host read-only checks to run on your computer, then score the results into a report.
• The SDLC (licensed). Tools on the same server that give your own coding agent our delivery process: project and backlog records, refinement, sprint planning, gate checks, the reviewer panel, sprint audits, the decision register and reports, and a dashboard that runs on your own computer. Your agent does the work; the server hands out the process and keeps the record.
• The website. Information about the service. The success stories are based on projects our developers have worked on, with every identifying detail removed; their figures illustrate the kind of change the work produces and are not a promise of the same result for you.

3. Your account

You sign in with an email address and a one-time link; there is no password. Your account, your licence and your projects all belong to that address. Keep access to it to yourself, and revoke your MCP host's access if a device is lost. You must be at least 18, or have the consent of a parent or guardian, to buy a licence.

4. What a report is, and is not

• It is a diagnosis. It names each gap it finds and what that gap can cost you. It does not tell you how to fix it; fixing is what the SDLC is for.
• It is not a guarantee. A good score, or a clean report, is not a certification and does not mean your application is secure, correct, compliant or fit for any purpose. It reflects only the results your host sent and the checks we run on them; problems the checks do not cover, or that the results did not show, will not appear.
• It is not legal or regulatory advice.
• Gate results in the SDLC are self-attested. They record what your own tools and agent reported, marked as such. The SDLC gives your team a process; it does not make us responsible for the software you build with it.

The commands the scan returns are read-only. You and your host decide what runs on your computer; review them if in doubt.

5. The SDLC licence

• Free months. An account that signs up by 31 December 2026 (23:59 UTC) gets the SDLC tools without payment for 3 months, counted from its sign-up. The offer is for the next 10,000 users who sign up: we may end it for new sign-ups earlier, once those 10,000 have joined; free months already started are not cut short. Nothing is charged for the free months and no card is asked for. After them, the SDLC is available with a paid licence on the terms below; we email the account before its free months end. Projects and documents created during the free period stay yours and deletable.
• Plan. Monthly: €27 plus VAT in the EU, $30 plus tax where it applies elsewhere. A yearly plan is no longer offered; a yearly licence already paid runs to the end of its year. The licence includes every SDLC tool, the reviewer panel, the dashboard, updates we publish during the paid period, and an unlimited number of projects.
• Start and length. The licence unlocks automatically once Stripe confirms the payment, normally within a minute, on the account of the email address used to pay (or, for a payment link issued from your MCP host, the account that asked for it). It runs for one month from that moment. If it has not unlocked within a few minutes, write to us and we activate it by hand.
• Renewal. If the checkout set up a recurring payment, the plan renews at the end of each period at the price then shown, until you cancel; Stripe's checkout page says so before you pay. A one-off payment ends at the end of its period unless you pay again. We will tell you by email at least 30 days before a price change applies to your renewal.
• Cancelling. Cancel at any time by writing to us through our contact form. It stops renewing, and the licence runs to the end of the period you have paid for.
• Who may use it. The licence is for the person who signs in with that email address, for their own projects or their employer's. It may not be shared, resold or used to run the SDLC as a service for third parties.
• If a payment is reversed. A full refund or an opened payment dispute ends the licence it paid for. Cancelling is not a reversal: a cancelled plan runs to the end of the period you have paid for.

6. Prices, VAT and payment

Prices are in euros in the European Union and in US dollars elsewhere, and exclude tax; VAT or sales tax is added at checkout where it applies, at the rate for your country. Business customers in another EU country with a valid VAT number may be charged under the reverse-charge rules. Payment is taken by Stripe; we never see your full card details. If you would rather pay by invoice and bank transfer, ask. The price you paid applies for the whole period you paid for.

7. Right of withdrawal (consumers)

If you are a consumer in the EU, you may withdraw from a licence purchase within 14 days of paying, without giving a reason. Tell us clearly, for example through our contact form; you may use the model form below, but you do not have to. We refund what you paid, with the same payment method, within 14 days of hearing from you. You get the full amount back, even though the licence was already running, and the licence ends on the day you withdraw.

Model withdrawal form. To Innovate d.o.o., Ljubljana, Slovenia (sent through prodready.si/contact/): I hereby give notice that I withdraw from my contract for the prodready SDLC licence, paid on [date], with the email address [address]. Name: [name]. Date: [date].

Business customers have no statutory right of withdrawal.

8. Your code and your data

• Your code is yours. Your source never reaches us: your host runs the checks locally and sends results, not code. We claim no rights in your code, your product, or anything you build with the SDLC.
• What you send us. You allow us to process the results, project documents and other material your host sends only to provide the service to you. Do not send credentials, customer data, or material you are not entitled to share; the SDLC tools refuse the most obvious of it.
• Keeping and deleting. Report pages are deleted after seven days. SDLC project documents are kept until you delete them. You can list, export and delete your projects at any time, including after a licence ends.
• Data processing agreement and NDA. Where we process personal data on your behalf, we do so only on your instructions, and we sign our data processing agreement under Art. 28 GDPR, and a mutual NDA, on request: write to us through our contact form with your company's details. How we handle personal data is set out in the Privacy policy.

9. Our intellectual property

The checks, scoring rules, playbooks, SDLC process, reviewer briefs, prompts, report design, the website and the prodready name and mark belong to Innovate d.o.o. The free tools may be used for your own projects; a licence lets you use the SDLC for as long as it runs. Reports about your own projects are yours to keep and share. You may not copy, extract or republish the checks, playbooks or briefs, or build a competing service from them.

10. Acceptable use

Do not attack, overload or probe the service, get around its limits or access codes, use someone else's account, send data you have no right to send, or resell the service or its reports as your own. The server enforces some limits automatically, for example at most 20 messages per request, 2 MB per request and 30 report pages per account per hour. We may suspend access that breaks these rules, and will tell you why unless the law or security prevents it.

11. Availability and changes

We work to keep the service available but do not promise it will be uninterrupted. We may improve and change the checks, the scoring and the tools. We will not take away the core of what a paid licence includes during a period you have paid for; if we ever stop offering the SDLC, we refund the unused part of that period.

12. Liability

• Free services are provided as they are, without warranties beyond those the law requires.
• Business customers: we are not liable for indirect or consequential loss, lost profit, or loss of data, and our total liability in any 12 months is limited to what you paid us in those 12 months.
• Consumers: you keep every right the law gives you, including the statutory rights for digital services that do not conform to the contract.
• Always: nothing here limits liability for intent or gross negligence, for death or personal injury, or any other liability that cannot lawfully be limited.

13. Ending the licence

You can cancel at any time (see section 5). We may end or suspend a licence if you seriously or repeatedly break these terms; unless the breach is serious, we warn you first. When a licence ends, the SDLC tools lock, the free scan keeps working, and your projects stay until you delete them. To have your account and contact record removed as well, write to us through our contact form.

14. Law and disputes

These terms are governed by the law of the Republic of Slovenia, excluding the UN Convention on Contracts for the International Sale of Goods. The courts in Ljubljana have jurisdiction.

If you are a consumer, you also keep the protection of the mandatory law of the country where you live, and you may bring proceedings in the courts there. Please write to us first; most things are settled by one email.

15. Changes to these terms

We may update these terms; the date at the top says when they last changed. Changes apply to new purchases straight away. For a running licence, we will email you at least 30 days before a change that matters takes effect, and you can cancel before then; the terms that applied when you paid govern the period you paid for.
